AGREEMENT A
Platform Terms of Use
Accepted by every user at sign-up · includes the facility-specific terms (Section 19)
Version 1.0 · effective 16 October 2026
IN PLAIN LANGUAGE
RIGS & Roads runs a marketplace that connects engineering teams with test facilities. We only provide the platform. Your test is a contract between you and the other party, not with us. Verify truthfully and keep confidential information safe. If we introduced you to someone, don't take that work off the platform during the conversion period without paying the fee. The platform is provided “as is” and our liability is capped.
1.Operator and these terms
1.1These Terms of Use (“Terms”) are between you and Sai Vineeth Kallu, sole proprietor trading as “RIGS & Roads”, of Rampally, Hyderabad, Telangana, India (“RIGS & Roads”, “we”, “us”). When a company is incorporated to operate the Platform, the operator named here will be updated and users will be notified of the change.
1.2By creating an account, accepting these Terms on screen, or using the platform at rigsandroads.com (the “Platform”), you agree to these Terms. If you accept on behalf of an organisation, you confirm you are authorised to bind it.
1.3These Terms include the facility-specific terms in Section 19, which apply additionally to facility providers.
2.Definitions
2.1“Client” means a user that searches for and requests tests. “Facility” means a user that lists testing capacity and performs tests. “Work Order” means the booking record forming the contract for a test between a Client and a Facility. “Organisation” means the legal person (or individual) on whose behalf a user acts. “Confidential Information” has the meaning given in the NDA.
3.Accounts and organisations
3.1Users act within an Organisation with roles of Owner, Admin and Member. Only an Owner or Admin may accept these Terms and the Privacy Notice for the Organisation; Members then act under that acceptance.
3.2You are responsible for activity under your account and for the accuracy of the information you provide. You must keep credentials secure and notify us of any unauthorised use.
3.3Organisations that are not yet incorporated (including student teams, pre-incorporation startups and independent engineers) may contract as individuals, in which case the accepting individual is personally bound. Participation of any person under 18 must be arranged through a sponsoring organisation or institution that contracts on their behalf; we do not knowingly contract directly with minors (see Privacy Notice §10).
4.Verification
4.1We verify Organisations (for example by work email at the Organisation's domain, by checking GSTIN, Udyam or CIN at source, and by checking the authority of the signatory) and verify individuals manually. We do not store copies of identity documents.
4.2Verification is a trust aid only. We do not guarantee the identity, solvency, competence or conduct of any user, and verification does not make us a party to any test.
5.The Platform and our role
5.1Facilitator only. RIGS & Roads provides the Platform that enables Clients and Facilities to find each other, exchange information under controlled disclosure, and form Work Orders. Each test is contracted directly between the Client and the Facility. We are not a party to any Work Order, NDA or test; we are not a reseller, agent, contractor or sub-contractor for any test; and we do not perform, supervise or warrant any test.
5.2We operate controlled-disclosure features, including hidden identities before approval, access levels per listing (Open, Standard, Restricted, Confidential), competitor exclusion, identity reveal on approval, per-booking teams and an audit log. These are provided on a reasonable-efforts basis.
5.3Some listings are curated or described by us for clarity. Curated descriptions are not representations about a Facility's capability; the Facility remains responsible for the accuracy of its listing (Section 19).
6.Listings, requests and Work Orders
6.1A Facility may list capacity and set its access level and any excluded competitors. A Client may request a test and share a test plan. A Facility may approve or decline a request; on approval, identities are revealed to the booking team and the chosen NDA and the Work Order attach.
6.2The Facility confirms feasibility and price, and the Client accepts the quote. That acceptance forms the Work Order between them. The Work Order, together with the NDA selected for the booking, governs the test as between Client and Facility.
7.Non-circumvention and conversion fee
7.1The Platform's value is in the introductions and controlled disclosure it provides. Suppose a Client and a Facility contract with each other otherwise than through the Platform, within twenty-four (24) months of being first introduced through the Platform, for testing work of a kind offered through the Platform. The party moving the work off-Platform shall then pay RIGS & Roads a conversion fee of ten per cent (10%) of the value of that off-Platform work contracted within that period (the “Conversion Fee”).
7.2The Conversion Fee is a genuine pre-estimate of the Platform value lost when an introduced relationship is taken off-Platform, and is payable as compensation. It is not a restraint on either party's freedom to trade: the parties remain free to work together, and the fee is simply the agreed consideration for doing so off-Platform after a Platform introduction. The parties may avoid the fee at any time by continuing to book through the Platform.
8.Payments and platform fees
8.1RIGS & Roads does not collect payment for tests. The Facility invoices the Client directly for each Work Order, and the Client pays the Facility directly, on the terms in the Work Order.
8.2The platform fee is a percentage of the booking value, set in the Platform's settings and currently «Platform fee %». The rate that applies to a booking is shown before the request is sent and recorded on its Work Order. Platform fees are invoiced by RIGS & Roads separately. We will give at least thirty (30) days' notice before introducing or increasing a fee, and a new rate applies only to bookings requested after it takes effect. Taxes (including GST) apply as required by law and are the responsibility of the party liable for them.
9.Acceptable use
9.1You must not misrepresent your identity, Organisation or authority; scrape, map or reverse-engineer the Platform or other users' hidden information; circumvent access levels, competitor exclusion or identity controls; upload unlawful content; or use the Platform to infringe a third party's rights.
9.2You must comply with all laws applicable to your use, including those on confidentiality, safety and export control (Section 14).
10.Confidentiality and NDAs
10.1Test plans, prototypes, samples and results are sensitive. For each booking the Client selects the confidentiality basis offered in the app: the standard one-way NDA, the standard mutual NDA (Agreement C), the Client's own NDA, or none. The NDA is between the Client and the Facility; RIGS & Roads is not a party to it. Where an NDA is selected, the Facility sees the Client's test plan and documents only after accepting it.
10.2RIGS & Roads will keep confidential the users' Confidential Information it handles in operating the Platform, and use it only to operate the Platform, as described in the Privacy Notice.
11.Disclaimers and limitation of liability
11.1As is. The Platform is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, express or implied. We do not warrant any test, result, sample handling, listing or price, or the conduct, identity or solvency of any user.
11.2No liability for tests. We are not liable for any test, result, delay, failed or inconclusive test, wrong result, loss of or damage to any device under test or sample, personal injury, or any dispute between a Client and a Facility. Those matters are governed by the Work Order and NDA between them.
11.3Cap. Subject to clause 11.4, our total aggregate liability to you arising out of or in connection with the Platform and these Terms shall not exceed the total platform fees you paid to us in the twelve (12) months before the event giving rise to the claim. Where no such fees have been paid, our total aggregate liability shall not exceed INR 10,000 (Rupees Ten Thousand).
11.4Indirect loss. Neither party is liable for indirect, consequential, special or punitive loss, or loss of profit, revenue, data or goodwill. Nothing in these Terms limits liability that cannot be limited by law (including liability for fraud, or for death or personal injury caused by negligence).
12.Intellectual property
12.1The Platform, its software and the methods underlying it (including the patent-pending method for gated discovery, identity reveal on approval, competitor exclusion and auto-generated NDAs) are owned by RIGS & Roads or its licensors. No rights are granted except to use the Platform under these Terms.
12.2Client IP and results. As between Client and Facility, the Client owns its prototypes, test plans, and the raw data and reports produced for its Work Order, as set out in the Work Order. We claim no ownership of user content and store it only to operate the booking.
13.Certification and accreditation
13.1A Facility may or may not be accredited (for example by NABL) for a given standard. Unless a Work Order states that the Facility is accredited for the specific test, results are provided for development and R&D purposes only and do not constitute certification or conformity assessment under any standard (including AIS-156, IS 16893, DO-160G or MIL-STD-810H). Clients must not rely on non-accredited results as certification.
14.Export control and defence work
14.1Some tests (for example aerospace or defence work) may involve controlled technical data under Indian law (including SCOMET) or foreign law (including US ITAR/EAR). You are responsible for determining and complying with all export-control and defence obligations applicable to your test.
14.2You must declare controlled or defence-related work where prompted. We may screen, restrict, refuse or withdraw any booking that may involve controlled technical data, and may require additional declarations before approval.
15.Governing law, jurisdiction and arbitration
15.1These Terms are governed by the laws of India. Subject to clause 15.2, the courts at Hyderabad, Telangana shall have exclusive jurisdiction.
15.2For users whose Organisation is located outside India, any dispute shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated at Hyderabad, India, and conducted in English. The award is final, binding and enforceable.
16.Grievance officer, notices and contact
16.1Grievance Officer: Sai Vineeth Kallu, Proprietor, contactable at contact@rigsandroads.com. We will acknowledge and address complaints within the timelines required by applicable law.
16.2Notices to us may be sent to contact@rigsandroads.com, which is our address for notice. We may give you notice through the Platform or by email to your registered address.
17.Suspension and termination
17.1We may suspend or terminate access for breach of these Terms, suspected misrepresentation, legal or safety risk, or non-payment of amounts due to us. You may stop using the Platform at any time. Sections that by their nature survive (including Sections 7, 10 to 13, 15 and 16) continue after termination.
18.Changes and versioning
18.1Each version of these Terms carries a version number and effective date. Material changes require re-acceptance; minor or clarifying changes, and changes required by law, may take effect on notice. Your continued use after an effective date constitutes acceptance of changes notified on that basis.
19.Facility-specific terms
19.1Listing accuracy. A Facility is responsible for the accuracy and currency of its listing, including equipment, capability, standards, capacity and access level, and must not list capacity it cannot provide.
19.2Performance. A Facility must perform each test it accepts with reasonable skill and care, in accordance with the Work Order, and must hold the qualifications, approvals and insurance appropriate to the test.
19.3Client prototypes and data. A Facility must keep Clients' prototypes, samples, test plans and results confidential, use them only for the Work Order, and deliver the raw data and reports to the Client. A Facility must not use, publish or disclose them, or solicit the Client off-Platform in breach of Section 7.
19.4Device under test, safety and insurance. Liability for loss of or damage to a device under test (“DUT”), for safety at the Facility, and for the test itself rests between the Facility and the Client under the Work Order. The Facility must maintain adequate insurance for its activities. RIGS & Roads bears no such liability.
19.5Payment and fee. The Facility invoices and is paid by the Client directly. Any platform fee is invoiced by RIGS & Roads under Section 8.
20.Electronic acceptance and general
20.1You accept these Terms electronically. We record who accepted, when, on behalf of which Organisation, and which version, in a tamper-resistant audit log; this record is evidence of acceptance. These Terms are the entire agreement between you and us about the Platform and prevail over any conflicting term you submit.
